Amending Chapter 2, Code of Ordinances by repealing Section 2-970.6, Kansas City Museum Foundation, Inc., and enacting in lieu thereof a new section of like number and subject matter that allows the Kansas City Museum Foundation’s Board to appoint its board of directors, elect its officers and amend its article of incorporation and bylaws without city approval.

WHEREAS, following the model of Starlight Theater, the Zoo and Liberty Memorial, the Kansas City Museum Foundation is prepared to transition to a self-perpetuating board of directors capable of appointing is own board, electing its officers, and amending its articles of incorporation and bylaws; and
WHEREAS, currently Section 2-970.6 of the City’s Code of Ordinances provides that the Board of Parks and Recreation Commissioners has the authority to designate the directors of the Kansas City Museum Foundation with the Mayor’s approval and the Parks Board also has the authority to designate the chairperson and vice-chairperson of the Foundation and to amend the articles of incorporation and bylaws; and
WHEREAS, on June 13, 2023, the Board of Parks and Recreation Commissioners passed Resolution No. 32260 recommending to the City Council that it amend Section 2-970.6 of the City’s Code of Ordinances to reflect that the Kansas City Museum Foundation is a self-perpetuating board of directors capable of appointing its own board and officers and amending its own articles of incorporation and bylaws; NOW, THEREFORE,
BE IT ORDAINED BY THE COUNCIL OF KANSAS CITY:
Section 1. That Chapter 2, Code of Ordinances of the City of Kansas City, Missouri, is hereby amended by repealing Section 2-970.6 Kansas City Museum Foundation, Inc., and enacting in lieu thereof a new section of like number and subject matter, to read as follows:
Sec. 2-970.6. Kansas City Museum Foundation, Inc.
(a) Purpose. The purposes of the Kansas City Museum Foundation, Inc. include:
(1) To raise funds to support, maintain and increase the collections and exhibits of the Kansas City Museum;
(2) To sponsor programs, exhibitions and events, including, but not limited to, the development and preservation of the buildings and/or collections;
(3) To participate in and conduct programs in support of educational and similar activities related to either the buildings and/or grounds or other related purposes;
(4) To advise on and support the implementation of the renovation of and/or improvements to the Kansas City Museum (including in each situation both the building and grounds and other supporting areas);
(5) To preserve and display the collections held by the Kansas City Museum (including other supporting areas); and
(6) To create and implement the strategic plan for the Kansas City Museum.
(b) Establishment, membership, appointment of directors. The articles of incorporation of the Kansas City Museum, Inc. (hereinafter “Foundation”) shall be amended and restated as follows: The board of directors of the Foundation shall be composed of between 3-15 members and they shall be self-perpetuating. The Foundation shall adopt such articles of incorporation and bylaws as it deems necessary to effectuate its purposes and govern its affairs.
(1) One of the members of the Foundation board (hereinafter “Board”) shall be a member of the Board of Parks and Recreation Commissioners.
(2) The Foundation shall endeavor to choose representatives of organizations with stakeholder interests in the Kansas City Museum including civic leaders and associations that will further the purposes of the Foundation.
(3) Each director shall be appointed for a three-year term. The terms shall be staggered.
(4) A quorum shall be determined by the bylaws.
(c) Officers and meetings. The officers and meetings shall be determined by the Foundation bylaws.
(d) Parks department liaison. The Parks and Recreation Department will provide a liaison to the Foundation.
(e) Meetings; rules and procedures. The Foundation Board shall have the authority to amend or adopt, from time to time, the articles of incorporation, bylaws, rules and regulations as it may deem necessary to effectuate its purpose and govern its affairs.
