Authorizing the City Manager to execute a First Amendment to the License and Operating Agreement between AEG Kansas City Arena, LLC ("AEG"), the City of Kansas City, Missouri ("City"), and the National Association of Basketball Coaches Foundation, Inc. ("NABC") for the purpose of permitting the National Association of Basketball Coaches ("Association") to locate its headquarters within the downtown of Kansas City, Missouri.

WHEREAS, the City, AEG, and NABC entered into a License and Operating Agreement ("Operating Agreement") on May 7, 2007, for the use and occupancy of the New NABC Facilities-College Basketball Experience in the City of Kansas City, Missouri Downtown Arena; and

WHEREAS, the Operating Agreement requires that the "NABC shall cause the Association to maintain its Headquarters Facility within the Downtown Loop at all times during the Term" (Section 2 of the License and Operating Agreement); and

WHEREAS, the Association's headquarters is currently located at 1111 Main Street (Suite 1000) within the downtown loop; and

WHEREAS, the NABC and the Association are exploring locations in Downtown Kansas City outside the Downtown Loop that allows the Association to broaden its contacts in the sports and civic community and reduce its related maintenance and rental costs for its headquarters; and

WHEREAS, the First Amendment will only amend Section 2 of the Operating Agreement to authorize the Association to locate its headquarters within the larger area of Downtown Kansas City, and the First Amendment does not change any of the other terms and conditions of the License and Operating Agreement; NOW, THEREFORE,
